1. Acceptance of Terms

By accessing or using ProWaterRestoration.com (the "Site") or any services offered through it (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Site or Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ProWaterRestoration.com, operated by 12P Ventures LLC ("Company," "we," "us," or "our"). We reserve the right to update or modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of those changes.

2. Description of Service

ProWaterRestoration.com is a referral and matching service that connects homeowners and property owners experiencing water damage with independent, local restoration contractors ("Contractors"). Our Service includes:

• Receiving inbound inquiries from homeowners seeking water damage restoration assistance
• Matching those inquiries with vetted, independent Contractors in the homeowner's geographic area
• Facilitating the initial connection between homeowners and Contractors

Important: ProWaterRestoration.com does NOT:

• Perform any water damage restoration, remediation, mold removal, or repair work of any kind
• Employ, supervise, or direct any Contractor
• Guarantee the quality, timeliness, safety, or completeness of any Contractor's work
• Set pricing for any restoration services
• Provide insurance, bonding, or warranties for any work performed by Contractors
• Guarantee that a Contractor will be available in your area or respond within any specific timeframe

We act solely as an intermediary. Once you are connected with a Contractor, all terms of engagement, pricing, scope of work, timelines, and warranties are between you and the Contractor directly.

3. No Contractor-Client Relationship

ProWaterRestoration.com is not a party to any agreement between you and any Contractor. By using our Service, you acknowledge and agree that:

• All Contractors in our network are independent businesses. They are not employees, agents, subcontractors, or affiliates of ProWaterRestoration.com or 12P Ventures LLC.
• We are not responsible for the quality, safety, legality, or any other aspect of the Contractor's work.
• We are not responsible for any Contractor's pricing, estimates, invoices, or charges.
• We have no involvement in and accept no responsibility for any disputes, claims, or disagreements between you and any Contractor.
• Any contracts, warranties, or guarantees provided by a Contractor are solely between you and that Contractor.

You are solely responsible for evaluating, vetting, and selecting any Contractor you choose to hire, even if they were referred to you through our Service. We encourage all homeowners to independently verify a Contractor's licensing, insurance, references, and qualifications before entering into any agreement.

4. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PROWATERRESTORATION.COM AND 12P VENTURES LLC DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free
• Any warranty regarding Contractor availability, response time, qualifications, or quality of work
• Any warranty that any Contractor referred through our Service will meet your expectations or requirements
• Any warranty regarding the accuracy or completeness of information provided by Contractors or displayed on the Site

Your use of the Service and any reliance on information or referrals obtained through the Service is entirely at your own risk.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROWATERRESTORATION.COM, 12P VENTURES LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service
• Any damages resulting from a Contractor's work, including but not limited to property damage, personal injury, mold growth, structural damage, or any other harm
• Any damages resulting from a Contractor's failure to perform, delays, or abandonment of a project
• Any outcomes related to insurance claims, including claim denials, underpayments, or delays
• Any financial losses, lost profits, or costs of substitute services
• Any unauthorized access to or alteration of your personal data

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

6. Call Recording Consent

By placing a phone call to any telephone number listed on ProWaterRestoration.com or associated marketing materials, you expressly consent to the recording and monitoring of that call.

Calls may be recorded, monitored, and analyzed for the following purposes:

• Quality assurance and service improvement
• Training and performance evaluation
• Verification of information and compliance
• Dispute resolution
• Legal and regulatory compliance

If you do not consent to having your call recorded, you must disconnect the call immediately and contact us via email at greg@prowaterrestoration.com instead. Continued participation in a phone call constitutes your ongoing consent to recording.

Call recordings may be shared with Contractors for the purpose of facilitating your service request. Recordings are retained in accordance with our privacy practices and applicable law.

7. Intellectual Property

All content on ProWaterRestoration.com, including but not limited to text, graphics, logos, images, audio, video, software, and design elements, is the property of 12P Ventures LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from this Site without the prior written consent of 12P Ventures LLC, except as permitted by applicable law for personal, non-commercial use.

8. User Conduct

By using the Service, you agree that you will not:

• Provide false, misleading, or inaccurate information when requesting service
• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
• Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks
• Interfere with or disrupt the Site or servers or networks connected to the Site
• Use any automated means, including bots, scrapers, or spiders, to access the Site
• Harass, threaten, or abuse any Contractor, Company employee, or other user
• Use the Service to solicit Contractors for purposes unrelated to water damage restoration

We reserve the right to refuse service, terminate accounts, and restrict access to the Site at our sole discretion, without notice, for any conduct that we determine violates these Terms or is harmful to the Company, other users, or Contractors.

9. Third-Party Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by ProWaterRestoration.com. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

The inclusion of any link does not imply endorsement, approval, or affiliation. You access third-party websites entirely at your own risk and subject to the terms and conditions of those websites. We strongly encourage you to review the terms and privacy policies of any third-party site you visit.

10. Indemnification

You agree to indemnify, defend, and hold harmless ProWaterRestoration.com, 12P Ventures LLC, and their respective officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any dispute between you and any Contractor referred through our Service
• Any content or information you provide through the Service

11. Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

Any legal proceedings that are not subject to the arbitration provisions in Section 12 below shall be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and you hereby consent to the personal jurisdiction of such courts.

12. Dispute Resolution

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or validity thereof shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall take place in the Commonwealth of Pennsylvania.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ProWaterRestoration.com or 12P Ventures LLC.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Informal Resolution: Before initiating arbitration, you agree to first contact us at greg@prowaterrestoration.com and attempt to resolve the dispute informally for at least thirty (30) days.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically. If you do not agree with any changes, your sole remedy is to discontinue use of the Service.
